Terms of Service for the Marquee-Magic Meta Platform Integration

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Marquee-Magic Meta Platform Integration (the "Service"), provided by Wheelhouser ("we," "us," "our"). By connecting your Meta account or using the Service to publish content, you agree to these Terms, our main Marquee-Magic Terms of Service, and our Privacy Policy. If you do not agree to these terms, do not use the Service.

2. Description of the Service

The Service allows you to publish advertisements, posts, and other materials ("User Content") created within Marquee-Magic Designer directly to your connected Facebook and Instagram accounts ("Meta Platforms"). Wheelhouser acts solely as a technical facilitator for this transmission. We do not review, endorse, or control the User Content you choose to publish.

3. User Responsibilities and Content Compliance

You are solely responsible for all User Content that you create and publish via the Service. You represent and warrant that:

(a) Compliance with Laws: Your User Content complies with all applicable laws and regulations.
(b) Compliance with Meta’s Policies: You agree to adhere to all Meta terms and policies, including:

(c) Prohibited Content: Your User Content must not be illegal, fraudulent, hateful, or infringe upon intellectual property rights.
(d) Account Security: You are responsible for maintaining the security of your Meta credentials.

We reserve the right to remove content, suspend, or terminate your access for violations, without prior notice.

4. Relationship with Meta

The Service interoperates with Meta Platforms, which are not owned or controlled by Wheelhouser. You acknowledge that:

(a) No Control: We do not control Meta’s actions or availability. Meta may reject or moderate your content.
(b) Disclaimer of Liability: Wheelhouser is not liable for any action Meta takes regarding your content or account.

5. Intellectual Property Rights

(a) User Content: You retain ownership of your User Content.
(b) Limited License: You grant Wheelhouser a limited, non-exclusive license to transmit your content for publishing purposes only.

6. Disclaimers and Limitation of Liability

(a) "AS IS" Service: The Service is provided without warranties of any kind.
(b) Limitation of Liability: Wheelhouser shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service.

7. Indemnification

You agree to defend, indemnify, and hold harmless Wheelhouser and its affiliates from any claims or losses arising from your use of the Service or violation of these Terms.

8. Termination

(a) By You: You may terminate this agreement at any time by disconnecting your Meta account.
(b) By Us: We may suspend or terminate your access at any time, with or without notice.

9. General Provisions

(a) Governing Law: These Terms are governed by the laws of Delaware.
(b) Changes to Terms: We may modify these Terms and will notify you of changes.
(c) Entire Agreement: These Terms, together with our Privacy Policy, constitute the full agreement regarding this Service.
